Secretarial Artificial Intelligence Remote Assistant is a generative artificial intelligence, trained on vast amounts of data related to the company laws in Malaysia and learn to generate new samples by identifying patterns, correlations, and structures within the training (“SAIRA”). SAIRA serves as the virtual assistance for iCompany, integrated within the web application system developed by Cosec Tech Solutions Sdn Bhd that provides digital company secretarial services.
Please read this SAIRA Terms and Conditions of Use carefully before using its services. The term “System” or “Web Application System” or “Platform” refers to the web application system and the term “iCompany” or the “Company” refers to Cosec Tech Solutions Sdn Bhd 202301032770 (1526693-W), a company incorporated under the laws of Malaysia and having its address at D-1-6, First Floor, Block D, Sekitar26 Enterprise, Persiaran Hulu Selangor, 40400 Seksyen 26, Shah Alam, Selangor. The term “you” or “user” refers to the user utilising the System.
Please read this SAIRA Terms and Conditions of Use carefully before using its services. The term “System” or “Web Application System” or “Platform” refers to the web application system and the term “iCompany” or the “Company” refers to Cosec Tech Solutions Sdn Bhd 202301032770 (1526693-W), a company incorporated under the laws of Malaysia and having its address at D-1-6, First Floor, Block D, Sekitar26 Enterprise, Persiaran Hulu Selangor, 40400 Seksyen 26, Shah Alam, Selangor. The term “you” or “user” refers to the user utilising the System.
iCompany reserves the right to update this SAIRA Terms and Conditions of Use at any time without notice to you. Any use of the System and/or SAIRA will constitute your acceptance of this SAIRA Terms and Conditions of Use and any subsequent changes or modifications thereof. If you do not agree to this Terms and Conditions of Use and its subsequent changes or modification, do not continue to use the System and/or SAIRA.
Use of SAIRA is limited to individuals and parties that can lawfully enter into contracts under the laws of Malaysia. Minors below the age of eighteen (18) years of age as prescribed under the Age of Majority Act 1971 are not allowed to use SAIRA without any guardian or parental supervision.
SAIRA is a generative artificial intelligence integrated within the System provides general information related to corporate secretarial and company laws in Malaysia. It is not intended to be a substitute for professional legal advice. The information generated by the AI is based on general principles and may not address specific legal situations or circumstances. You should consult with a qualified legal professional for advice regarding your specific requirements.
SAIRA information provided on the Platform is for informational purposes only. It should not be considered as legal advice, endorsement, or recommendation. You understand, acknowledge and accept that information provided by SAIRA is not exhaustive and may not reflect the most current legal developments. The accuracy, completeness, and reliability of the information cannot be guaranteed. You agree to use SAIRA and/or the System responsibly and in compliance with all applicable laws and regulations.
SAIRA is not a substitute for professional legal advice. You agree to indemnify and hold harmless iCompany, its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorney's fees) arising out of or related to your use of SAIRA and/or the System or any violation of this SAIRA Terms and Conditions of Use.
Subject to the extent permitted by law, iCompany shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of SAIRA and/or the System, including but not limited to damages for loss of profits, data, or business opportunities. iCompany does not assume any responsibility for the actions, content, or services provided by third parties accessed through SAIRA and/or the System.
SAIRA and all related content, trademarks, logos, and intellectual property rights within the System are owned by iCompany. You shall not use, modify, reproduce, distribute, or create derivative works based on such materials without the explicit written consent of iCompany.
iCompany reserves the right to modify, suspend, or terminate SAIRA and/or the System or any part thereof, at any time without notice or liability. This SAIRA Terms and Conditions of Use may be updated or revised from time to time. Your continued use of SAIRA or the System after any modifications constitutes your acceptance of the revised terms.
As a condition of your use of SAIRA and the System, you will not use SAIRA and the System for any purpose that is unlawful or prohibited by laws and regulations. You shall not use SAIRA or the System in any manner that could damage, disable, overburden, or impair any iCompany server, or the network(s) connected to any iCompany server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any SAIRA or the System, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through SAIRA or the System.
SAIRA contains content specifically provided by iCompany and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable. You shall abide by and maintain all copyright notices, information, and restrictions contained in any content accessed through the service.
Subject to these Terms and Conditions of Use, iCompany grants each user of the System a non-exclusive, non-sublicensable and non-transferable license to use, modify and reproduce the content, solely for the use in accordance with the SAIRA and/or System. Use, reproduction, modification, distribution or storage of any content for other purposes not in connection with SAIRA and/or the System is expressly prohibited without prior written permission from iCompany, or from the copyright holder identified in such content's copyright notice, as applicable. You shall not sell, license, rent, or otherwise use or exploit any content for commercial use (whether or not for profit) that may violate any third party right.
Subject to these Terms and Conditions of Use, iCompany grants each user of the System a non-exclusive, non-sublicensable and non-transferable license to use, modify and reproduce the content, solely for the use in accordance with the SAIRA and/or System. Use, reproduction, modification, distribution or storage of any content for other purposes not in connection with SAIRA and/or the System is expressly prohibited without prior written permission from iCompany, or from the copyright holder identified in such content's copyright notice, as applicable. You shall not sell, license, rent, or otherwise use or exploit any content for commercial use (whether or not for profit) that may violate any third party right.
We may use any data provided by you during the use of SAIRA in a number of different ways in connection with SAIRA and the System, in our sole discretion, including but not limited to, publicly displaying it, reformatting it, incorporating it into marketing materials, advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing other users to do the same in connection with their own websites, media platforms, and applications (“Third Party Media”).
By using SAIRA, you hereby do and shall grant iCompany a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, copy, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the data provided by you during the use of SAIRA or in connection with the System, and iCompany's (and its successors and assigns') business, including without limitation for promoting and redistributing part or all of the data (and derivative works thereof) in any media formats and through any media channels (including, without limitation, third party websites and feeds).
You also hereby do and shall grant each user of SAIRA and/or the System, including Third Party Media, a non-exclusive license to access your data through SAIRA or the System, and to use, edit, modify, reproduce, distribute, prepare derivative works of, display and perform such data in connection with their use of SAIRA and the System and Third Party Media. For clarity, the foregoing license grant to iCompany does not affect your other ownership or license rights in your data provided including the right to grant additional licenses to the material in your data unless otherwise agreed in writing with iCompany.

iCompany does not claim ownership of the materials you provide to iCompany (including feedback and suggestions) or post, upload, input or submit to SAIRA or the System or its associated services for review by the general public, or by the members of any public or private community, (each a "Submission" and collectively "Submissions").
However, by posting, uploading, inputting, providing or submitting ("Posting") your Submission you are granting iCompany, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses (including, without limitation, all iCompany Services), including, without limitation, the license rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; to publish your name in connection with your Submission; and the right to sublicense such rights to any supplier of the Services.
No compensation will be paid with respect to the use of your Submission, as provided herein. iCompany is under no obligation to post or use any Submission you may provide and iCompany may remove any Submission at any time in its sole discretion. By Posting a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in these Terms and Conditions of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
In addition to the warranty and representation set forth above, by Posting a Submission that contain images, photographs, pictures or that are otherwise graphical in whole or in part ("Images"), you warrant and represent that:
(a) you are the copyright owner of such Images, or that the copyright owner of such Images has granted you permission to use such Images or any content and/or images contained in such Images consistent with the manner and purpose of your use and as otherwise permitted by these Terms of Use and the Services,
(b) you have the rights necessary to grant the licenses and sublicenses described in these Terms of Use, and
(c) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in these Terms of Use, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images.
By Posting Images, you are granting:
(a) to all members of your private community (for each such Images available to members of such private community), and/or
(b) to the general public (for each such Images available anywhere on the Services, other than a private community), permission to use your Images in connection with the use, as permitted by these Terms of Use, of any of the Services, (including, by way of example, and not as a limitation, making prints and gift items which include such Images), and including, without limitation, a non-exclusive, world-wide, royalty-free license to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Images without having your name attached to such Images, and the right to sublicense such rights to any supplier of the Services.
The licenses granted in the preceding sentences for a Images will terminate at the time you completely remove such Images from the Services, provided that, such termination shall not affect any licenses granted in connection with such Images prior to the time you completely remove such Images. No compensation will be paid with respect to the use of your Images.
