2. Purpose of this Terms of Use
• The terms and conditions set forth below (“Terms of Use”) govern your access to and/or use of the services which are available on or provided through iCompany and/or mobile application operated by us (collectively, “Site”). We may provide other related services and applications through the Site in the future.
• Duplication, transmission, reproduction, republication, posting or redistribution of the content of this Site or any portion thereof is strictly prohibited without the prior written consent of iCompany.


3. Definition, Scope and Interpretation
• The terms “we”, “us”, “our” and “iCompany” refer to Cosec Tech Solutions Sdn Bhd and our Group of Companies (collectively, “iCompany”). The term “you” or “your” refers to each user of the Site.
• By accessing and/or using our Site, you agree and consent to us collecting, processing, using and disclosing your personal data in the manner set out in our Site. For more information on this, please see our Privacy Policy.

4. Acceptance
• You are required to read and accept all the Terms of Use before you can access and/or use the services offered through this Site. These Terms of Use apply to all visitors and users of this Site.
• By clicking “Sign up” or “Login” or similar buttons, accessing, registering or using our services available on the Site, you agree and consent to be bound by the Terms of Use.
• By doing the foregoing, you also agree that you have accepted our Privacy Policy and other terms that may be displayed to you at the time you access this Site.
• If you do not accept these Terms of Use or any part thereof, you should stop accessing and/or using this Site.


5. Eligibility
• You agree and confirm that by accessing and/or using our services offered through this Site, you are at least 18 years of age and you are legally capable of accepting and complying with these Terms of Use.
• We reserve the right at our sole discretion to deny access to any person to this Site at any time for any reason whatsoever without prior notice.
• If you are accepting these Terms of Use on behalf of a company or other legal entity permitted by law to hold and transact in a shareholding structure, you represent and warrant that you have the legal authority to bind such entity to these Terms of Use, in which case the terms “you” or “your” shall refer to such business entity. If you do not have such authority or you do not agree with these Terms of Use, you must not use any of our services. We shall not be liable for any consequences, losses or damages of any nature resulting from our reliance on any instruction, notice, document, or communication reasonably believed by us to be genuine and originating from an authorised representative of your entity.


6. iCompany Account
• If you have an iCompany account, you agree that your iCompany account will be used by you only and will not be shared with or transferred to others. We will not be liable for any losses or damages resulting from or in connection with any unauthorised use of your iCompany account or any failure to keep the password of your iCompany account confidential.
• When you access and use the services available on this Site, you agree to provide us with true, accurate, current and complete information and other details that we may reasonably require to provide you with such services offered through the Site.
• By creating an account with us, you agree that you may receive communications from iCompany, such as newsletters, special offers, and account reminders and updates. You also understand that you can remove yourself from these communications by clicking the "Unsubscribe" link in the footer of the actual email.


7. Intellectual Property Rights
• You agree that the content of information in whatever form which you choose to provide to us through iCompany (“Your Content”) is not false, intentionally misleading, defamatory, offensive, violates third party rights or contains anything that violates any law.
• You undertake to keep us fully indemnified against any losses, damages, costs, liabilities and expenses incurred or suffered by us arising out of Your Content, or your violation of any rights of another or of any law as a result of the provision of Your Content through iCompany.
• When you provide Your Content to us for the purpose of it being used on iCompany or via the services available on the Site, including messages and sharing of information with other third parties through the services, you agree that you have given your consent to us to use, store, process, reproduce, publish, display, distribute, transmit, modify, adapt, and create derivative works of Your Content, without any further consent from you, notice and/or compensation to you or others, subject to the relevant laws.
• All content transmitted through the services available on the Site is the sole responsibility of the person from whom such content originated. We do not verify the veracity of nor do we validate or endorse any content posted or supplied by you or any third party provided to us. We assume no responsibility for the content of websites linked on iCompany and such links should not be interpreted as endorsement or validation by us of those linked websites. We will not be liable for any loss or damage of any nature that may arise from your use of such content.
• iCompany is the owner of all intellectual property rights in and to the services available on the Site as well as the Site (except those pertaining to Your Content) and no other party shall have any rights over the same. These Terms of Use do not grant you to use of any trademark, logo, branding or other intellectual property used in our services and the Site.


8. Prohibited Use
• You agree that the information and content available on the Site (including but not limited to any information, text, graphics, videos, photos, software or other materials) are the sole property of iCompany (save and except for Your Content) and that you will not copy, modify, sub-licence, re-sell or create derivative works of such information and content in any manner whatsoever.
• You further agree that you will not:
  1. use the services available on the Site other than in accordance with these Terms of Use;
  2. disclose any information that you are not authorised to disclose;
  3. frame or mirror the services provided on the Site without our written authorisation;
  4. use the services either directly or indirectly so as to incur liability of iCompany or facilitate any illegal and/or immoral activity including but not limited to violating any of our intellectual property rights or that of others; and
  5. use any device, software, or routine that interferes with the use of the services or the use of the services by others, or is intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or communication.


9. Payment
• Some of the services available on the Site require payment of fees. All fees are stated in Malaysian Ringgit. You shall pay all applicable fees, as required and described in the applicable services and any related taxes or additional charges.
• Fee paid is final and non-refundable, except at our sole discretion and in accordance with the terms governing each paid services provided by the payment processor and/or financial institution.
• We may use a payment processor to bill you through a payment account linked to your billing account or by providing our bank account information for you to make payment to us. By making use of these payment services on the Site, you agree to be bound by terms as laid down from time to time by the payment processor and hereby consent and authorise us to delegate the authorisations and share information you provide to us with our third party service provider to the extent required to provide such payment services to you.


10. Access
• We will use our best endeavour to ensure that the Site and the services are available at all times. Notwithstanding the foregoing, we do not warrant that your use of the services available on the Site will be uninterrupted or error-free or that such services will meet your requirements. We will not be responsible for any losses or damages of any nature arising from any delays and other problems inherent in the use of communication networks and facilities for the transfer of data or use of the services through the Site.


11. Limitation of Liability
• Nothing in these Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
• To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to:
  1. the Site or any content of the Site, whether express or implied;
  2. the quality, reliability, timeliness or accuracy of legal services and/or advice provided by any third party lawyer through the Site; and
  3. the quality, reliability, timeliness or accuracy of the services provided by any third party service provider.
• To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to:
  1. any indirect, incidental, exemplary punitive, or consequential losses or damages of any kind whatsoever;
  2. costs, expenses, losses, damages, liabilities or claims relating to your access to, use of, or inability to access or use the services provided on the Site;
  3. costs, expenses, losses, liabilities or damages arising out of the relationship between the users of the Site through the legal services or advice provided through the Site, including but not limited to any client debts or malpractice claims;
  4. costs, expenses, losses, liabilities or damages or claims relating to your access to, use of, or inability to access or use services provided by or via third party service provider, including but not limited to any misappropriation and/or misuse of your personal and/or other information by any third party service provider; and/or
  5. costs, expenses, losses, liabilities, damages or claims in any manner relating to any content of this Site.
• To the extent permitted by law, our total liability for any claim under these Terms of Use is limited to the amount you paid to use the applicable services.


12. General Indemnity
1. You agree and undertake to fully defend, indemnify and hold us harmless from and against all liabilities, damages, claims, costs and expenses, in connection with or arising from your breach or non-compliance of any of these Terms of Service, your use of the Site or use of the services available on the Site.


13. Termination
• iCompany may terminate or temporarily suspend your use of the services provided through the Site in the event that:
  1. you breach or fail to comply with any material provision of these Terms of Use (if such breach or non-compliance is capable of being cured and is not cured within 14 days from notice to you);
  2. we determine that your actions are likely to expose us to legal liability or that you have misrepresented any data or information required by us to provide you with the services through the Site or at any other time; or
  3. you refuse to make payment of fees accrued despite two written reminders from us. You agree to waive your right to claim for any costs, losses, damages, or liabilities arising out of or related to our temporary suspension and/or termination of your access to the Site and/or the services provided on the Site in pursuance of this clause.
• If you have paid for any services, either party may terminate these Terms of Use with notice via email to the other. For the avoidance of doubt, fees paid will not be pro-rated and refunded.


14. Governing Law
• These Terms of Use are governed by and are to be construed in accordance with the laws of Malaysia.


15. Assignment
• You shall not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms of Use. However, we may at any time assign, transfer, charge, subcontract or deal in any other manner, with all or any of its rights or obligations under these Terms of Use without your consent.


16. No partnership
• Nothing in these Terms of Use is intended to, or shall be deemed to, establish any partnership, agency or joint venture or solicitor-client relationship between any of the parties, constitute any party the agent of another party, nor authorize any party to make or enter into any commitments for or on behalf of any other party.


17. Waiver
• No failure to exercise or delay in exercising any right or remedy under these Terms of Use will constitute a waiver of the relevant provision or provisions of these Terms of Use. No single or partial exercise of any right or remedy under these Terms of Use will preclude or restrict the further exercise of any such right or remedy.


18. Severability
• The invalidity, illegality or unenforceability of any provisions of these Terms of Use will not affect the continuation in force of the remainder of these Terms of Use.


19. Entire Agreement
• These Terms of Use constitute the whole agreement between the parties and supersede all previous correspondences, discussions, negotiations, understandings, arrangements and agreements between them with respect to this subject matter.


20. Changes of Terms of Use
• We may at our sole discretion amend or modify the Terms of Use at any time without notice or liability to you and your continued access to and/or use of this Site signifies your acceptance of and agreement to be bound by the updated or modified Terms of Use. It is your responsibility to review these Terms of Use governing this Site from time to time.

• This Terms of Use is only available in English language only.
